Simply Managed AI Founding Offer Terms
These Founding Offer Terms (“Terms”) are an agreement between Empowered.guru LLC (“we,” “us”), which provides the Simply Managed AI service, and the business or individual who signs up for the Founding Offer (“you”). They apply together with our Terms of Service and Privacy Policy. If these Terms conflict with the Terms of Service, these Terms control for the Founding Offer. You accept these Terms by checking the acceptance box at sign-up.
1. Definitions
“Pod” means the dedicated set of AI teammates we configure for your business, including a lead responder, a follow-up coordinator, a weekly reporter, and a Chief of Staff agent, operating in a private workspace for your account. “Trial” means the 7-day period described below. “Your Data” means the business data you provide to us and the content the Pod generates for you.
2. Eligibility
The Founding Offer is available only to real estate professionals who receive an invitation from us, whether through a webinar, direct outreach, or a referral, and who complete sign-up using the link or code in that invitation by 11:59 p.m. Pacific Time on Saturday, November 14, 2026. The offer is limited to one per person and is not transferable. We may limit the number of Founding Offer spots. We may decline or cancel any sign-up that did not come from an invitation, before any charge is made.
3. Free trial
Your Trial lasts 7 days and begins on the date of your kickoff call. We aim to hold your kickoff within 3 business days of sign-up. If your kickoff has not taken place within 7 days of sign-up, we will release your spot, delete your saved payment details, and you will owe nothing.
There is no charge and no setup fee during the Trial. During the Trial we will provide: configuration of your Pod; one primary workflow chosen with you; a live onboarding session of about 45 minutes, recorded only with your permission; a quick-start guide; a check-in during the Trial; and support access.
4. Fees and founding rate
Unless you cancel before the Trial ends, your subscription begins at the end of day 7 at $100 per month (our standard rate is $297 per month). The $100 rate is locked for 24 months from your first charge. After that, you receive 20% off the then-current standard price of whatever plan you choose. The founding rate and the ongoing discount continue only while your subscription stays active without interruption; if you cancel, they end and do not resume if you later resubscribe. Fees exclude applicable taxes.
5. Payment and automatic renewal
You provide a payment card at sign-up through our payment processor, Stripe. We do not see or store your full card number. By accepting these Terms, you authorize us to charge $100 plus applicable taxes to that card at the end of day 7, and then monthly on that same day (or the last day of any shorter month) until you cancel. Your subscription renews automatically each month unless you cancel. We will email you a reminder before your first charge.
6. Cancellation
You may cancel at any time using the cancel link included in every reminder and billing email, or by emailing hello@simplymanagedai.com. No call or login is required. If you cancel before the end of day 7, you will not be charged. If you cancel after your subscription begins, cancellation takes effect at the end of the current billing month, and you will not be charged again.
7. 30-day refund
If you request it within 30 days after your first charge, we will refund that first charge in full, with no questions asked. This refund applies only to the first charge under the Founding Offer.
8. Your responsibilities
You agree to name one person with authority to direct the Pod, to provide access to one primary data source such as your CRM, and to review and approve the Pod’s work, which typically takes about an hour a day during the Trial. You are responsible for the accuracy of the data you provide and for having the rights to share it with us.
9. Approval of communications and compliance
No message is sent under your name unless a person on your side approves it first. You are responsible for the content of messages you approve and for having any consent required to contact the recipients, including under applicable email, telemarketing, fair housing, and real estate advertising laws and your brokerage’s policies.
10. AI output
The Pod uses artificial intelligence to draft content, which may contain errors. You agree to review content before approving it. We do not guarantee any particular business result, including leads, response rates, or closed transactions.
11. Your data
You own Your Data. We use it only to provide the service to you, as described in our Privacy Policy. Your Data is kept in your Pod’s private workspace and is not used in demonstrations or shared environments. When your account ends for any reason, you may request an export of Your Data in a usable format within 30 days. We will delete our copies on request or after that period, except where we are required by law to keep records.
12. Testimonials and case studies
If you continue after the Trial, we may ask for a short testimonial, permission to write a case study about your results, and two introductions. These requests are optional and are not a condition of these Terms. We will not publish your name, results, or any testimonial without your written approval of the final copy.
13. If the Pod goes unused
If the Pod sits unused during the Trial, we will offer a reset session at no charge to help you get going again.
14. Disclaimer and limitation of liability
Disclaimer. Except as expressly stated in these Terms, the Pod and our services, including AI-generated content, are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or completely secure. We are not responsible for third-party services, including your CRM, email provider, payment processor, and hosting providers.
Excluded damages. To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, loss of data, loss of goodwill, or business interruption, even if advised of the possibility.
Liability cap. Our total liability arising out of or relating to these Terms or the services will not exceed the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim or (b) $500.
Exceptions. These limits do not apply to your obligation to pay fees owed, either party’s gross negligence, willful misconduct, or fraud, or liability that cannot be limited by law.
15. Termination by us
Suspension. We may suspend all or part of the services (a) if a payment fails and remains unpaid 3 days after we email you, or (b) immediately if we reasonably believe your use violates these Terms or the Terms of Service, poses a security risk, or could harm us, other customers, or third parties. We may retry the charge if it fails. We will restore the services promptly once the issue is resolved. We will not delete Your Data during a suspension.
Termination. We may end your subscription (a) if you do not cure a material breach within 30 days after we email you, (b) immediately by email for misuse, unlawful use, or repeated violations, or (c) on 60 days’ email notice if we discontinue the service for all customers.
Effect on fees. If we terminate for your breach or non-payment, fees accrued through the termination date are due and the current month’s fee is not refunded. Your 30-day refund right still applies if requested within that window. If we terminate under (c), we will refund fees for the unused part of the current month.
16. Changes to these terms
We will not change your founding rate or discount during the periods described above. We may update other parts of these Terms with at least 30 days’ notice by email. If you do not agree to a change, you may cancel before it takes effect.
17. Governing law and dispute resolution
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Before starting any formal proceeding, the parties will try in good faith to resolve any dispute arising out of or relating to these Terms, the Pod, or our services through written notice and negotiation for 30 days. If the dispute is not resolved, it will be decided by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, held in San Diego, California, and the parties may participate by video conference. Each party will bear its own attorneys’ fees and costs, and the arbitrator’s fees will be split equally.
Either party may instead bring an individual claim in small claims court if it qualifies. Either party may also seek temporary injunctive relief in a court of competent jurisdiction to protect its intellectual property or confidential information while arbitration is pending.
